Terms and conditions of use

1. Introduction

These Terms of Use (“Terms”) describe the terms on the use of services offered by Coodesh Serviços Tecnológicas Ltda., registered with the VAT Number under nº 30.078.586/0001-78, with headquarters at Av. Afonso Pena, 3351 – 11º Floor | Suite 1103 – Funcionários, Belo Horizonte/MG – Zip Code: 30130-008, (“Coodesh”). These Terms are a legally binding contract between you (“User” or “You” or "Customer" or "Client") and Coodesh. By accessing or using the products or services, you agree to be bound by these Terms and our Privacy Policy.

2. Description of Products

Coodesh offers a service through internet software that evaluates technology profiles for companies through an assessment process ("SOFTWARE") using assessments/tests on the main demands of the technology market with the generation of in-depth skills reports.

For the purposes of this term of use, “ASSESSMENT” means an evaluation of a candidate or company employee whose evaluation necessarily took place with the effective and direct involvement of the Coodesh SOFTWARE.

Coodesh Tech Screening : Screening testing software to qualify and identify top technology talent. ‍
Coodesh Hiring : Platform to find and hire pre-vetted technology talent. ‍
Coodesh Skills : Software to measure and evolve technology team skills. ‍
Coodesh Learn : Software to measure and evolve digital talent skills (B2C / Individual).

3. Grant of Access and Use

3.1. Subject to the terms and conditions of the Agreement, Coodesh grants you a limited, personal, non-exclusive, non-sublicensable, non-transferable license to access and use the Services solely for internal and direct recruitment purposes.

3.2. Access to and use of the Platform is provided to any number of individuals who complete the assessments or tests provided as part of the Services in accordance with the applicable subscription plan.

3.3. Any agreements created between companies and candidates are not binding on Coodesh. Coodesh is not responsible for, or obliged to comply with, any agreements between companies on the platform and candidates. The companies on the platform did not consider Coodesh, nor should Coodesh be interpreted as a part of the eventual relationship between company and candidate.

3.4. The company authorizes Coodesh to use its name, brand and/or logo that the company owns on the platform and to use in presentations, marketing material, online or offline lists of clients/cases, internal financial reports or with investors, search results pages and referral pages.

3.5. The result data of the candidate nominated for the company's evaluation process on the platform will remain in the Coodesh system for 1 year after the end of the contract or closure of the company account, that is, if the company on the platform intends to consult the results, as well as exporting the data via the platform or consuming it in the Coodesh API system, you can do so within a period of 1 year after the end of the contract or blocking of the account, providing access to the data on the candidates' results.

3.6. You agree and are aware that Coodesh has a traceability system during use in the software. Coodesh software allows you to generate a history of all information and movements during use. Such information may be requested and presented in the event of disputes by companies on the platform, candidates or by Coodesh itself.

3.7. It is agreed between the parties that there is no exclusive relationship between the company on the platform and Coodesh, so that the company on the platform may sign and maintain other contracts with third parties that also provide Professional Selection services.

4. Registration, Authentication and Data Collected

4.1. To use our Products and Services, you must create an account. To create an account, you must (i) select the applicable subscription plan based on the Products and Plans and Features; (ii) be legally authorized to represent the company or business that hires our Services; and (iii) review and accept these Terms of Use on behalf of Customer. To create an account, you must provide your email address and create a password.

4.2. To access the services, the user must register using a valid email address and create an access password. The platform offers authentication via Google or Microsoft Hotmail. It is possible to enable authentication via Single Sign On (SSO) in the Client settings. In cases of access via SSO, authentication will be the responsibility of the supplier chosen by the Customer (for example, Google Gmail or a user manager based on the SAML protocol, such as Microsoft's Active Directory). 5. Use of the Platform

The Tech Screening and Hiring modules are used in the recruitment and selection process, while the Skills module is aimed at company employees. The Learn module is aimed at individuals (B2C).

Manager Access (Management Users) : Allows you to manage users and access within the platform.
Employee Access : Requires corporate email belonging to the company's workspace on the platform. This type of user does not have access to vacancies or employability modules.
Candidate Access : You can complete your profile on the platform (optional) to activate job search and job application modules.

6.4. Add-on and Integrations:

Integrations with other behavioral, psychometric and soft skills testing platforms can be integrated.
Behavioral mapping provider is the company Solides Tecnologia SA with VAT Number: 10.461.302/0001-06.
Other Services, Add-ons may require terms of acceptance or signature of a digital contract for such provision.
Coodesh uses a partner platform to create and maintain types of contracts that require a digital signature: CLICKSIGN GESTÃO DE DOCUMENTOS S/A - VAT Number: 12.499.520/0001-70.

7. Free Plan, Beta Products and Trial Period

7.1. We may invite you to test new or additional products or features of our Services that are not generally available to all customers (“Beta Products”) or to use our Services for free (“Free Plan Products”).

7.2. Beta Products and Free Plan Products may contain errors and are provided with limited features.

7.3. If you have access to the Free Plan Products, we will provide the Services to you on a trial basis, free of charge, until the earlier of: (a) the end of the 14-day free trial period, or (b) the start date of any Service subscriptions purchased by you for such Services. The free trial period may be extended depending on negotiation with the customer.

7.4. Beta Products and Free Plan Products are provided without warranties of any kind, express, implied, statutory or otherwise. Coodesh specifically disclaims all implied warranties of merchantability, non-infringement and fitness for a particular purpose with respect to the Beta Products and Free Plan Products.

7.5. Coodesh is under no obligation to provide Beta Products and Free Plan Products to any customer or our customer base generally. Coodesh has the right to terminate or discontinue a Beta Product or Free Plan Product at any time.

7.6. Available free plan (freemium) or trial period on the platform:

Up to 14 days of trial access (can be extended depending on personalized contract negotiation)
Amount of credits to unlock programming test and quiz results (with credit limit for a period of up to 30 days)
Careers page with limited resources
Access to the job board to publish job offers on a limited basis
Access to searching for talent on the platform is restricted
Access to test library and question customizations, restricted format
Access to tests involving video, audio, whiteboard, restricted format responses

8. Payment and Plan Cancellation Policies

8.1. The plans are offered with different payment options (monthly or annual) and price variations depending on the products, modules and resources that will be used by the CONTRACTING PARTY.

8.2 The CONTRACTING PARTY will deposit the amounts agreed in the Plan in the payment methods available by Coodesh.

8.3 Payment Method:

Brazil: Credit card, bank slip or pix via platform integration Stripe or Vindi.
USA, Canada, Europe, United Kingdom and Other Countries in the World: Credit card via platform integration Stripe.

8.4. For monthly plans, cancellation can be made at any time without loyalty.

8.5. For annual plans paid monthly, there is a contract breach fee of 50% of the amount owed.

8.6. Plans for medium and large companies (Business or Enterprise plans) are managed by an Account Executive at Coodesh with digital signature of the contract and sending of the payment invoice. Other plans can be purchased through the platform using a credit card and governed by acceptance of the terms of use.

8.7 Accounting / Finance at Coodesh who will send notifications, invoices and NFe: <[email protected]>.

8.8 Invoices or NFe in Brazil are generated upon approval of payment by the company's integrated system NFE.io. Companies with personalized contracts on the Business or Enterprise plans can request the NFe/Invoice prior to paying for the plan or monthly fee for the chosen plan.

8.9 The contract takes effect from the date of its signature and has an indefinite period, and may be renewed or terminated by agreement between the parties.

8.10 The contracting of a plan may be terminated upon 30 (thirty) days' notice from the interested party.

8.11 Digital communication to cancel use must be made through a specific location on the platform.

9. Confidentiality and Secrecy, Privacy and Data Protection Terms

The personal data collected is used to provide and improve our services, as detailed in the Privacy Policy. Coodesh adopts security measures to protect user privacy.

10. User Responsibilities

You are responsible for your use of the Services and any use made using your account, including by third parties. You agree not to access, copy or use the Services other than as permitted in these Terms. You agree to notify Coodesh of any unauthorized use of your account.

10.1. You agree to provide us with information that is accurate, complete and current when using the Services. Failure to do so constitutes a breach of the Terms, which may result in termination of your account on our Service.

10.2 You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to third parties.

10.3. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account. You are responsible for preventing unauthorized access to or use of the Services through your account and will immediately notify Coodesh of any unauthorized access or use. Coodesh is not responsible for any loss or damage arising from unauthorized use of your account.

10.4. To activate or deactivate notifications and alerts on the platform, you need to access User Menu - Notifications. Available in https://coodesh.com/account/notifications

10.5. To change your password, simply access the User Menu - Security. available in https://coodesh.com/account/security

10.6. To request account closure, you will need to access User Menu - Settings - View Instructions under Account, Close or Pause. Available in: https://coodesh.com/account/settings

11. Intellectual Property Rights

11.1. You acknowledge and agree that Coodesh owns and retains all title rights, including all intellectual property rights, in and to (a) the Platform, the Services, Beta Products, the Documentation, the Software, including any software applications related and/or component thereof, or to any associated materials or intellectual property, or in or to any improvements, modifications, updates or improvements to any of the foregoing (including any feedback you may provide), and all other materials created by us or provided by us to you as part of the Services under the Agreement, and (b) all operational and performance data relating to your use of the Service and Beta Products, except Customer Data (as defined below), and, subject applicable law, any anonymized or de-identified aggregate data (“Coodesh Data”).

1.2. The Agreement does not grant Customer any title or ownership right in or to the Platform, the Services, or any related software application or component thereof, or to any associated materials or intellectual property, including content and testing questions, testing algorithms , output generated by Candidates (with the exception of Customer Data as defined below).

11.3. You are prohibited from modifying, translating, decompiling, reverse engineering, disassembling, adapting the Services and associated intellectual property rights, or attempting to abstract the source code of the software underlying the Platform, the Services, the software or applications of any other way. You must not remove or alter any copyright notices, trademarks or logos contained in the Services.

11.4. Any data that originates from a Candidate or that is directly provided by a Candidate through the use of the Platform or by a Candidate who has created an account with Coodesh, including but not limited to an individual Candidate's output generated by the Platform, and Communications with and video recordings of Candidates (“Candidate Data”) will be the exclusive property of Candidate. This includes any personal data provided by the Candidate through the use of the Platform or when creating an account with Coodesh.

11.5. Coodesh grants you, and you accept, a limited, personal, non-exclusive, non-sublicensable, non-transferable license to access and use the Coodesh Data, including results derived from the Candidate Data, solely for your own use of the Services in accordance with the Agreement.

11.6. All data or information, including personal data of your employees, that you submit, share, store or otherwise provide to Coodesh as part of your use of the Services, (which includes Customer-developed tests uploaded by you as part of your use of the Services) as well as data and materials generated by you through the use of the Services with such data under the Agreement (which includes your analysis, screening, evaluation, scoring, rating, asserting, evaluating or otherwise qualifying the output of a Individual Candidate generated by the Platform, hiring results, as well as communications directly between you and the Candidate), will remain, as between Customer and Coodesh, the exclusive property of Customer (collectively, “Customer Data”) and you will retain ownership of your Data (subject to the licenses below and any third party rights therein). Candidate Data is explicitly excluded from Client Data.

12. Court

If the Customer is domiciled in Brazil, these Terms will be governed and interpreted in accordance with Brazilian laws, and any dispute will be resolved in the court of Belo Horizonte/MG with Coodesh Servicos Tecnologias Ltda. If the Customer is domiciled outside of Brazil, these Terms will be governed and interpreted in accordance with the legislation of Delaware with Coodesh, Inc. If the attempt at consensus is unsuccessful in the extrajudicial resolution of conflicts, pursuant to clause 12, the Parties irrevocably and unconditionally elect the Courts of Belo Horizonte/MG - Brazil as the exclusive jurisdiction, will be elected to resolve any conflicts, doubts of interpretation or demands arising from or related to these Terms, despite the choice of another jurisdiction, however beneficial it may be. it is.

13. Modifications to the Terms of Use

Coodesh reserves the right to modify these Terms of Use at any time. We will notify users of significant changes via registered email or through notices on the platform.
